Welcome to DOBE ("Department of Business Efficiency"). By accessing our website at dobe.com or using our services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

2. Definitions

"DOBE", "we", "us", or "our" refers to Department of Business Efficiency, a business consulting and technology firm based in Salt Lake City, Utah.

"Services" refers to all services provided by DOBE, including but not limited to custom website development, AI solutions, efficiency consulting, and API integrations.

"Client" or "you" refers to any individual or entity that purchases or uses our Services.

3. Services

DOBE provides business efficiency solutions, including custom website development, AI-driven solutions, API integrations, and efficiency consulting. The specific details of Services provided to you will be outlined in a separate agreement or proposal.

4. Payment Terms

Fees for our Services are as outlined in our proposal or pricing page. Payment terms are net 30 days from invoice date unless otherwise specified. For website development and other projects, we typically require a 50% deposit before work begins, with the remaining balance due upon completion.

Recurring fees for maintenance and hosting are billed monthly and are due on the first day of each month.

5. Intellectual Property Rights

Upon full payment, Clients receive ownership rights to the final deliverables, except for:

  • Third-party components that are subject to their own licenses
  • Our proprietary tools, processes, and methodologies
  • Open-source components subject to their respective licenses

DOBE retains the right to display and link to your project as part of our portfolio and to describe our work on your project for promotional purposes, unless explicitly agreed otherwise.

6. Client Responsibilities

Clients are responsible for:

  • Providing timely feedback and approvals
  • Supplying necessary content and materials
  • Ensuring they have proper rights to all materials provided to us
  • Maintaining their own backups of content and data
  • Complying with all applicable laws regarding their business and website content

7. Limitation of Liability

DOBE's liability is limited to the amount paid for the Services. We are not liable for indirect, consequential, or incidental damages, including loss of profits, revenue, data, or use.

We do not guarantee that our Services will be error-free or uninterrupted, or that any defects will be corrected.

8. Termination

Either party may terminate the Service agreement with 30 days' written notice. If you terminate Services before completion, you agree to pay for all work completed up to the termination date.

For recurring Services, termination will be effective at the end of the current billing period.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our business relationship. This includes business strategies, customer data, pricing, and proprietary methodologies.

10. Governing Law

These Terms are governed by the federal laws of the United States of America. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the federal courts.

11. Changes to Terms

DOBE reserves the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on our website and updating the "Last Updated" date.
